These Terms of Service ("Terms") govern your use of the Sillplate Plan Co. website, your account, and any order you place with us. Please read them before you create an account or buy anything. By using the site or placing an order, you agree to these Terms.
1. Who we are
"Sillplate," "we," "us" and "our" mean Blank to fill in: [legal entity name], doing business as Sillplate Plan Co., with its principal office at Blank to fill in: [address], Missouri. Contact: Blank to fill in: [contact email].
Sillplate provides house plans, residential design and drafting, renderings and related services for one- and two-family dwellings. Our plans and drawings are prepared by a person who is not a licensed architect or professional engineer. We do not provide architecture or engineering services, and we do not seal drawings.
Sillplate is run by Dominic Freed, a residential general contractor based in Troy, Missouri. He is a draftsperson and builder, not a licensed architect or professional engineer.
2. Documents that make up our agreement
These Terms apply to everything. Depending on what you buy, these documents also apply and are part of our agreement:
- Plan License Terms: ready-made plan licenses and the renderings licensed with a plan.
- Refund Policy: refunds, deposits and credits.
- Design Service Disclosures: what we are and aren't licensed to do, state limits, and what's by others.
- Professional Service Limitations: feasibility reports and other advisory work.
- Privacy Policy: how we handle your information.
- Proposals, quotes and statements of work we sign with you for modifications, custom plans, reports and other services.
If documents conflict, this order controls: (1) a signed proposal or statement of work, for its specific project; (2) the Plan License Terms, for license questions; (3) these Terms; (4) the other policies.
3. Who may use the site
- You must be at least 18 and able to enter a binding contract.
- Our services are intended for builders, developers and other businesses. Owner-builders may buy where we offer it and where the law allows.
- If you act for a company, you confirm that you're authorized to bind it, and "you" includes that company.
4. Accounts
- Give us accurate information, including your legal business name. Licenses are issued to the entity named on the order.
- Keep your login secure. You're responsible for activity under your account and for the users you invite to it.
- Tell us right away at Blank to fill in: [contact email] if you think your account has been compromised.
- We may ask you to verify your business (for example, a license number, EIN or business website) to qualify for builder pricing.
5. Project state, jurisdiction and building type
Whether we can lawfully sell a plan or service for construction depends on where the house will be built.
- You must tell us the state and jurisdiction (city or county) where each licensed build will be built, and you certify that the information is accurate.
- Restricted states. We do not sell build licenses or construction drawings for projects in states where our research indicates a licensed architect or engineer is required for the work. As of the date above, those states are Arkansas, Hawaii, Maryland, Nevada, New Jersey and New York. Study sets (no build right) and referrals may be available.
- States with limits. In some states, engineering by a licensed professional may be required for parts of the house, or our sale is limited by size, stories or building type. We may deliver a version of the plan without calculated elements, require a licensed professional, or decline the order.
- Building types. We provide plans and design for one- and two-family dwellings only.
- Local requirements. Some cities and counties require sealed plans even where state law doesn't. You are responsible for calling your local building department to find out whether sealed plans are required. If they are, we coordinate a licensed structural engineer as described in Section 16, or we may decline the order.
- If you give us wrong state or jurisdiction information, you are responsible for the result, and your license may not authorize the build.
6. Orders, pricing and taxes
- Prices are listed in U.S. dollars on the site or in your written quote. We may change prices at any time, but a change won't affect an order we've already accepted.
- An order is accepted when we confirm it by email or deliver the files, whichever comes first. We may refuse or cancel any order, including for a pricing error, a suspected unauthorized purchase, or a restricted state. If we cancel a paid order, we'll refund what you paid for it.
- Custom plans include three rounds of changes to the drawings. Further changes are quoted in writing before we start them.
- Discounts and promotions (including builder volume pricing) follow the terms stated with them and don't stack unless we say so.
- Taxes. Prices exclude sales, use and similar taxes. If tax applies, we'll add it at checkout or on the invoice.
7. Payment
- Card payments are processed by Stripe. We don't receive or store your full card number. Invoiced work may be paid by ACH through Stripe.
- Some services require a deposit before work starts and payment of the balance before final files are released. The proposal or product page states the terms.
- We do not release final files while a balance is unpaid.
- If a payment is reversed or charged back, the related license or service is suspended until it's resolved. Please contact us before disputing a charge so we can fix the problem.
- Overdue invoices may accrue a late charge of Blank to fill in: [rate] per month or the maximum allowed by law, whichever is less. [ATTORNEY: Confirm late-charge rate and enforceability under Missouri law.]
8. Delivery of digital files
- Files are delivered through your account from private storage using download links that expire. Each file has a download limit. We log downloads (user, time and IP address) to protect your license and ours. Ask us if you need new links.
- Delivered plan sets are watermarked with your company name, license ID and a unique set number. Don't remove or obscure them.
- Keep your own copies. We keep delivered files for Blank to fill in: [period] but don't promise to keep them indefinitely. [OWNER: set retention period.]
9. Our intellectual property
- We own the copyright in our plans, drawings, renderings, site content and other materials, or we license them from their owners.
- Buying a plan gives you a license to use it under the Plan License Terms. It doesn't transfer ownership of the design or the copyright.
- You may not copy, distribute, publish, sell, or create derivative designs from our materials except as a license expressly allows.
- Our names, logos and plan numbers are our trademarks or trade names. Don't use them in a way that suggests we endorse you.
- If you send us ideas or feedback, we may use them without obligation to you.
10. Content and information you provide
- You keep ownership of surveys, lot information, cost data, sketches and other materials you upload or send us ("Your Content").
- You give us permission to use Your Content to provide the services you ordered, to keep records, and to enforce our licenses.
- Third-party plans. If you ask us to modify or render a plan we didn't draw, you confirm in writing that you own it or have a license that allows the work. You agree to defend and indemnify us if that isn't true.
- You're responsible for the accuracy of what you provide. We rely on it as provided and don't independently verify it.
- Client cost data, lot lists and leads are treated as confidential.
11. Acceptable use
You agree not to:
- share, post, upload, sell or redistribute plan files, CAD files or renderings except as the Plan License Terms allow;
- remove, alter or obscure watermarks, license IDs, set numbers, disclosures or file metadata;
- scrape, crawl or bulk-download the site, or use automated means to access it except through public search-engine indexing;
- reverse-engineer a plan from our renderings, floor plan graphics or sample sheets;
- interfere with the site's security, accounts or download controls;
- use the site to break any law, or to infringe anyone's rights;
- misrepresent the project state, jurisdiction, building type or the buyer entity.
12. No guarantees
- We do not guarantee permit approval. Approval is the building department's decision.
- We do not guarantee that any plan complies with every code, amendment or local rule in your jurisdiction. You and your jurisdiction confirm the requirements.
- We do not guarantee construction cost, schedule beyond stated typical turnaround times, sale price, time on market, appraisal, financing or profit.
- Renderings are illustrations. The built home may vary.
- Turnaround times we state are typical estimates, not promises. They depend on complete inputs and on your decisions.
13. Disclaimer of warranties
Except for any limited warranty stated in writing in the Plan License Terms or a signed proposal, the site, plans and services are provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of liability
To the fullest extent allowed by law:
- Our total liability for any claim arising out of the site, a plan, a license or a service is limited to the amount you paid us for the specific plan, license or service that gave rise to the claim in the 12 months before the claim.
- Neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, including lost profits, lost sales, carrying costs, delay costs or loss of use, even if advised of the possibility.
15. Indemnity
You agree to defend, indemnify and hold us harmless from claims, losses and costs (including reasonable attorney fees) arising from:
- changes to our plans made by you or anyone other than us;
- use of a plan beyond your license, or in a restricted state or building type;
- inaccurate information you provided, including site, soils and jurisdiction information;
- site conditions, construction means and methods, and the work of your contractors and suppliers;
- Your Content, including third-party plans you asked us to modify or render.
16. Licensed professionals and other third parties
- You are responsible for confirming with your local building department whether sealed plans are required. If they are, we coordinate with a licensed structural engineer, who reviews the calculations in our plans, makes any adjustments necessary, and seals them. The engineer is responsible for the work they seal. We coordinate; we don't supervise or guarantee their work.
- When we coordinate a licensed professional for you:
- their fee is passed through at cost, with no markup (commonly $1,000 to $3,000, and from about $500 to $5,000 depending on the home), and we charge a $150 coordination fee;
- their scope is limited to what your building department requires;
- you see and approve their quote before any work starts;
- their design decisions are their professional responsibility;
- one round of incorporating their required changes into our drawings is included. Further rounds, or redesign they require beyond the original scope, are quoted in writing before we start.
- We use third-party providers to run the site and process payments and email, including Supabase (database, accounts and file storage), Stripe (payments) and Resend (email). Their terms may also apply to you.
- Links to other websites are for convenience. We don't control or endorse them.
17. Suspension and termination
- You may close your account at any time. Closing it doesn't cancel licenses already granted or amounts already owed.
- We may suspend or close an account, or withhold files, for nonpayment, chargebacks, a breach of these Terms or the Plan License Terms, or misuse of the site.
- Sections that by their nature should survive (including intellectual property, payment, no guarantees, disclaimers, limitation of liability, indemnity and governing law) survive termination.
18. Governing law and disputes
- These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules, and by applicable federal law (including copyright law).
- Before filing suit, each of us will try in good faith to resolve the dispute by direct discussion for at least 30 days, followed by non-binding mediation in Missouri if both agree.
- Any lawsuit will be brought in the state courts located in the Missouri county where our principal office is, or the federal court for the Eastern District of Missouri, and both parties consent to that jurisdiction.
- Nothing here prevents either of us from seeking an injunction to protect intellectual property.
19. Changes to these Terms
We may update these Terms. We'll post the new version with a new "Last updated" date. Changes apply to orders placed after the change. If a change is material, we'll notify account holders by email.
20. Electronic communications and signatures
You agree that we may communicate with you electronically and that click-to-accept and electronic signatures are as binding as signed paper. Transactional emails (order confirmations, delivery links, license certificates) aren't marketing and you can't opt out of them while you have an active order or account.
21. General
- Entire agreement. These Terms and the documents in Section 2 are the whole agreement on their subject.
- Severability. If a provision is unenforceable, the rest stays in effect.
- No waiver. Not enforcing a provision isn't a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a sale or reorganization of our business.
- Force majeure. Neither of us is liable for delays caused by events beyond reasonable control.
- Independent parties. Nothing here creates a partnership, joint venture or employment relationship.
